This Beta Tester Agreement ("Agreement") is entered into between Wingman Compliance, LLC ("Company," "we," "us," or "our") and you, the individual or entity accessing or using the Wingman Compliance platform during its beta testing phase ("Beta Tester," "you," or "your").
By accessing or using our beta software, platform, or services (collectively, the "Beta Service"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the Beta Service.
The Beta Service is a pre-release version of the Wingman Compliance platform that is still under active development. As such:
Subject to the terms of this Agreement, Wingman Compliance grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Beta Service solely for internal evaluation and testing purposes. This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Beta Service.
You acknowledge that the Beta Service and all related materials, including but not limited to features, functionality, user interface, technical specifications, and business processes, constitute confidential information of Wingman Compliance. You agree to:
You agree to provide Wingman Compliance with feedback, bug reports, suggestions, and other information regarding your use of the Beta Service ("Feedback"). You hereby grant Wingman Compliance a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and incorporate any Feedback into our products and services without restriction or compensation to you.
You acknowledge that any data you enter into the Beta Service may be accessed by Wingman Compliance personnel for testing, debugging, and improvement purposes. Do not enter sensitive personal information, proprietary business data, or real customer data into the Beta Service unless you have obtained all necessary consents. Our Privacy Policy applies to the extent applicable to beta services.
The Beta Service and all related intellectual property rights are and shall remain the exclusive property of Wingman Compliance. This Agreement does not grant you any ownership rights in the Beta Service. All rights not expressly granted are reserved by Wingman Compliance.
Wingman Compliance may terminate your access to the Beta Service at any time, with or without cause, and with or without notice. Your obligations of confidentiality and the disclaimers and limitations of liability in this Agreement shall survive termination.
WINGMAN COMPLIANCE IS A SOFTWARE TOOL DESIGNED TO ASSIST HVAC/R PROFESSIONALS IN UNDERSTANDING AND ORGANIZING COMPLIANCE-RELATED INFORMATION. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL ENGINEERING JUDGMENT, LICENSED LEGAL COUNSEL, OR OFFICIAL REGULATORY GUIDANCE.
No Professional Advice: The Beta Service does not constitute legal, engineering, environmental, or regulatory compliance advice. All calculations, outputs, recommendations, and compliance assessments generated by the Beta Service are for informational and educational purposes only and should not be relied upon as definitive compliance determinations.
Regulatory Accuracy Not Guaranteed: EPA regulations, ASHRAE standards, UL standards, local building codes, and other applicable regulations are subject to change. Wingman Compliance makes no representation or warranty that the Beta Service reflects current, accurate, or complete regulatory requirements. You are solely responsible for verifying all regulatory requirements with the applicable governing authority.
A2L Refrigerant Safety: Work involving A2L (mildly flammable) refrigerants carries inherent safety risks including fire, explosion, and toxicity hazards. The charge limit calculations, system design guidance, and compliance tools within the Beta Service are not a substitute for a licensed engineer's review, manufacturer installation requirements, AHJ (Authority Having Jurisdiction) approval, or applicable code compliance verification performed by a qualified professional.
EPA Compliance: EPA Section 608 regulations, the AIM Act, and related regulations impose legal obligations on HVAC/R technicians, contractors, and equipment owners. The Beta Service's EPA leak rate calculations, compliance tracking, and reporting tools are design aids only. Wingman Compliance assumes no responsibility for regulatory violations, fines, penalties, or legal actions arising from reliance on the Beta Service.
Field Decisions: All on-site installation, service, and compliance decisions must be made by qualified, licensed HVAC/R professionals in accordance with applicable codes, standards, and regulations. Do not make field decisions based solely on the output of this Beta Service.
BY ACCEPTING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT WINGMAN COMPLIANCE BEARS NO LIABILITY FOR ANY REGULATORY VIOLATIONS, SAFETY INCIDENTS, PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER HARM ARISING FROM YOUR USE OF OR RELIANCE UPON THE BETA SERVICE IN ANY PROFESSIONAL, REGULATORY, OR FIELD CONTEXT.
THE BETA SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE BETA SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WINGMAN COMPLIANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE BETA SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York.
This Agreement constitutes the entire agreement between you and Wingman Compliance with respect to the Beta Service and supersedes all prior agreements, understandings, and representations. Wingman Compliance reserves the right to modify this Agreement at any time with notice to you.
